Biden names two nominees for FTC commissioner, White House says

U.S. President Joe Biden has nominated Virginia Solicitor General Andrew Ferguson and Utah Solicitor General Melissa Holyoak to fill Republican slots at the Federal Trade Commission (FTC), according to the White House. This nomination will not alter the balance of power at the FTC, which is responsible for enforcing antitrust law and regulations against deceptive advertising. Currently, the FTC is chaired by Lina Khan, a Democrat, with two Democratic commissioners. In response to the nominations, Khan stated that Ferguson and Holyoak would bring valuable skills, experiences, and expertise to the Commission. She also expressed her anticipation of working with them, emphasizing that the FTC operates most effectively when fully staffed.

Under the Biden administration, the FTC has adopted a more stringent approach towards mergers that could potentially result in higher consumer prices or hinder innovation. During former President Donald Trump’s tenure, the FTC filed an antitrust lawsuit against Facebook, which is still pending trial. It is anticipated that the agency will also file a case against Amazon.com, potentially in the coming summer. Additionally, the FTC is currently evaluating Kroger’s proposal to acquire rival grocer Albertsons, along with other deals.

Andrew Ferguson, previously the chief counsel to U.S. Senate Republican Leader Mitch McConnell, has been nominated for the FTC position. He has also worked for Senators Lindsey Graham and Chuck Grassley. Ferguson, a native of Virginia, holds an undergraduate degree as well as a law degree from the University of Virginia.

Melissa Holyoak, the Utah Solicitor General with the Utah Attorney General’s Office, has also been nominated for the FTC position. She has previously worked at the law firm O’Melveny & Myers LLP and the Hamilton Lincoln Law Institute, which focuses on combating class action lawsuits and excessive regulation. Holyoak has also worked at the Competitive Enterprise Institute and the Center for Class Action Fairness. She obtained her undergraduate and law degrees from the University of Utah.

Among its ongoing cases, the FTC has filed a lawsuit to block Microsoft’s $69 billion acquisition of Activision, awaiting a court decision on the matter. The agency has also filed complaints to halt Amgen’s purchase of Horizon Therapeutics and Intercontinental Exchange’s planned acquisition of Black Knight. Furthermore, the FTC is engaged in a legal battle against Illumina over its acquisition of Grail.
